Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the DealShare mobile application, website, and related services (collectively, the “Platform”), operated by DealShare LLC, a company legally established in Chile (“DealShare,” “we,” “us,” or “our”).

By accessing, downloading, creating an account, or using the Platform in any manner, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Definitions

• “Platform” means the DealShare mobile application, website, APIs, features, tools, messaging systems, feeds, and all related services.
• “User” means any individual who accesses or uses the Platform, whether registered or not.
• “Content” means any text, images, videos, links, comments, messages, deals, offers, or other materials posted, shared, or transmitted by Users.
• “Deal” means any offer, discount, promotion, or commercial opportunity shared by Users.
• “Third Party” means any individual or entity other than DealShare.

2. Nature of the Platform (Important Disclaimer)

DealShare is NOT:

• A marketplace
• A seller or reseller of goods or services
• A broker, agent, or representative of merchants
• A payment processor
• A guarantor of deals, prices, availability, or quality

DealShare is a user-generated content platform that allows Users to share and discover deals posted by other Users.

All transactions, communications, and interactions occur directly between Users and third parties, entirely outside of DealShare.

3. Eligibility

You must be at least 18 years old to use the Platform.

By using DealShare, you represent and warrant that:

• You are legally capable of entering into a binding agreement
• You are not prohibited from using the Platform under any applicable law

4. Account Registration & Security

You are responsible for:

• All activity conducted through your account
• Maintaining the confidentiality of your login credentials
• Providing accurate and up-to-date information

DealShare is not responsible for unauthorized access to your account.

5. User Content & License Grant

You retain ownership of the Content you post. However, by submitting Content, you grant DealShare a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, and display your Content for the purpose of operating, improving, promoting, and enforcing the Platform.

This license survives account deletion.

6. User Responsibilities & Prohibited Content

You agree NOT to post Content that:

• Is false, misleading, fraudulent, or deceptive
• Violates any law or regulation
• Infringes intellectual property rights
• Constitutes spam or promotional abuse
• Contains hate speech, harassment, or threats
• Impersonates another person or business
• Promotes illegal or restricted goods
• Encourages unsafe or harmful behavior

DealShare reserves the absolute right, but not the obligation, to remove any Content at its sole discretion.

7. Deals Disclaimer

DealShare does not verify:

• Accuracy of deals
• Availability
• Pricing
• Merchant legitimacy
• Expiration dates

You assume all risk when relying on Content posted by Users.

8. No Duty to Monitor

DealShare has no obligation to monitor, review, or pre-screen Content. We may remove Content at any time, for any reason, or no reason, without notice.

9. Reporting & Moderation

Users may report Content they believe violates these Terms. DealShare retains sole discretion in determining enforcement actions. There is no guarantee of response, removal, or appeal.

10. Messaging & Communications

The Platform may include direct messaging features.

DealShare:

• Does not monitor private messages
• Is not responsible for message delivery
• Is not responsible for User interactions
• Makes no guarantees regarding safety or authenticity

11. Third-Party Links & Transactions

The Platform may contain links to third-party websites or services.

DealShare:

• Does not endorse third parties
• Is not responsible for external content
• Is not responsible for transactions conducted outside the Platform

12. Intellectual Property

All Platform software, branding, trademarks, logos, and design elements are owned by DealShare LLC or its licensors.

You may not copy, reverse engineer, or exploit any portion of the Platform.

13. Termination

DealShare may suspend or terminate accounts, remove Content, or restrict access at any time, with or without cause, and without notice.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

DEALSHARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

DEALSHARE SHALL NOT BE LIABLE FOR INDIRECT DAMAGES, INCIDENTAL DAMAGES, CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE.

IN NO EVENT SHALL DEALSHARE’S TOTAL LIABILITY EXCEED USD $100.

16. Indemnification

You agree to defend, indemnify, and hold harmless DealShare LLC from any claims arising out of:

• Your use of the Platform
• Your Content
• Your violation of these Terms
• Your interactions with other Users or third parties

17. Arbitration Clause (Mandatory)

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration, and not in court.

Arbitration shall be conducted:

• On an individual basis
• In accordance with applicable arbitration rules
• In Chile

18. Class Action Waiver

YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.

YOU WAIVE ANY RIGHT TO:

• CLASS ACTIONS
• COLLECTIVE ACTIONS
• REPRESENTATIVE ACTIONS

19. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of the Republic of Chile, without regard to conflict of law principles.

20. Severability

If any provision is found invalid, the remaining provisions remain in full force.

21. Changes to Terms

DealShare may update these Terms at any time. Continued use constitutes acceptance.
